Thank you for entrusting Comerica with your business banking needs. These instructions have been prepared in order to assist you with completing deposit account opening documentation.

Please note that we are unable to accept documents with alterations made to any preprinted portions of the forms. However, if any of the information you enter requires correction, you may line through the information and re-write the correct information, initial, and date same.

Include the legal name of the business entity as indicated on the formation documents (Articles of Incorporation or equivalent)

Note: The address used on the Declaration must match the address on the Business Deposit Account Signature Document and be the physical address of the business (not a P.O. Box)

Declaration Section:

Check one box (a, b, or c), as applicable. When selected, the Declaration will apply to:

(a): Only the business account numbers listed in the box

Note: if this Declaration is for only a single account and we have not provided you with the account number, note the account type (e.g., Business Checking) and the date (mm/dd/yyyy) it will be opened on.

(b): All business accounts opened today and going forward (unless you provide a new Declaration when opening a new account that states it applies to that new account)

(c): All business accounts already open, you open today, and those opened in the future (unless you provide a new Declaration when opening a new account that states it applies to that new account)

Names of Authorized Signers/Agents:

List the person’s name or title and check the appropriate box.

 

  • If their authority is limited to one or the other, check the appropriate box opposite that Name or Title.

 

Notes:

 

  • If no boxes are checked, those listed here will be considered authorized to enter into contracts on behalf of the company and conduct transactions
  • Listing only the titles requires a certification by the appropriate officer of the entity that the persons named as Authorized Signers on the Signature Document actually hold one of these titles. However, it eliminates the need to complete a new Declaration each time a person is added as an Authorized Signer if he/she holds one of the approved titles.
  • Only those that are stated in the Declaration as authorized to conduct transactions can be listed as Authorized Signers on page 1 of the Business Deposit Account Signature Document. However, all are not required to be listed.

Partnerships and Joint Vetures

All general partners need to sign unless otherwise stated in the written Partnership Agreement. If no written Partnership Agreement exists, all general partners must sign, record their title, and date it.
